Terms for selling through Loyative's platform.

Covers the sale of goods and services through Loyative and the payment terms. Nine short points.

1. Validity

  • The terms apply from the moment the retailer starts using the platform.
  • The retailer may end or pause sales via Loyative at any time by setting the product quantity to zero or by no longer creating campaigns.

2. Fees, margin and payment

  • Adding products and campaigns to Loyative's platform is free of charge.
  • The retailer decides which margin to offer, typically 30-60% depending on the product.
  • Shipping costs can either be included in the price or added separately. The retailer specifies this when adding a product or campaign in the portal.
  • Optional marketing services are available according to the following price list (excl. VAT):

  • Payment from Loyative to the retailer is made 15 days after the sales report has been generated, which happens 15 days after month end (so that any returns have been handled).

3. Sales flow

  1. The purchase takes place through Loyative's platform at the publisher.
  2. The order is then passed to the retailer automatically via plugin (e.g. WooCommerce or Shopify) or manually by email.
  3. Payment for the purchase goes to Loyative.
  4. The retailer ships the item to the customer.
  5. 15 days after the sales period, Loyative settles as described above, creates a self-billing invoice and pays the amount to the retailer within 15 days.
Example

Sales in November: the self-billing invoice is created on 15 December. Loyative then has 15 days to pay the amount to the retailer. The purchases included on the invoice are those with the status shipped.

4. The retailer's responsibilities

  • Ensure that all product information is correct and complies with Swedish law.
  • Keep stock status up to date and deliver within the stated times.
  • Handle customer service, complaints and returns. Loyative can act as the first point of contact, but the customer receives a support email address for each brand/retailer.
  • Be responsible for data security, passwords and correct use of the platform.

5. Confidentiality

  • The parties undertake to protect each other's confidential information.
  • Confidentiality applies for the duration of the agreement.
  • Exceptions apply to information that is already public, known or lawfully obtained.

6. Liability

  • The retailer compensates the end customer for product problems, such as defective goods or missing certification.

7. Intellectual property

  • The retailer owns its brands, product images and product data.
  • Loyative owns the platform, the system and the Loyative brand.
  • The retailer grants Loyative the right to use product images and information for marketing, analysis and recommendation systems.

8. GDPR and personal data

  • Loyative is responsible for handling customer data in accordance with GDPR.
  • The retailer may only use customer data to fulfil the order.
  • Customer data may not be shared with third parties outside the purpose of the agreement.

9. Acceptance of the terms

The terms are considered accepted when the retailer logs in and publishes a campaign on Loyative's platform.
